Welcome to the commercial framework of AMBRYON LLP. These Terms of Distribution govern all B2B procurement agreements, wholesale pricing structures, stock allocations, and after-sales service policies between Ambryon LLP and our authorized retail, enterprise, or regional distribution partners.
1. B2B Eligibility & Minimum Order Quantities (MOQ)
Ambryon LLP operates strictly as an institutional B2B supplier and brand distributor.
- Wholesale pricing tiers are unlocked only upon verification of valid GST business credentials or commercial retail licensing.
- Minimum Order Quantities (MOQ) apply per product category (Mice, Keyboards, Mousepads) and are specified on formal proforma invoices prior to dispatch.
2. Pricing, Invoicing & Payments
All wholesale rate cards issued by Ambryon LLP are subject to periodic adjustment based on manufacturing costs and exchange rates. Once a formal purchase order (PO) is accepted and an invoice generated, quoted prices remain fixed. Full payment clearance is required prior to logistics dispatch unless explicit credit terms have been authorized under a signed partner agreement.
3. Bulletproof RMA & Replacement Commitments
We believe after-sales service builds lasting partnerships. Our Return Merchandise Authorization (RMA) framework operates under the following standards:
- Single-Day Verification: Defective units reported with valid testing logs or video proof undergo immediate intake review within 24 business hours.
- Direct Replacement: Hardware displaying genuine manufacturing or sensor defects under active warranty will be replaced with fresh unit stock rather than prolonged repair cycles.
- Damage resulting from liquid spills, unauthorized physical modification, or customer abuse is excluded from standard warranty coverage.
4. Shipping & Transit Responsibility
All transit insurance remains strictly within the client's scope and responsibility. Freight and dispatch terms are defined as follows:
- Client-Arranged Pickups: If the client arranges for inventory pickup directly from our hub, all transit risk, loading protocols, and transport safety fall entirely under the client's responsibility.
- Ambryon-Facilitated Deliveries: Ambryon LLP will only arrange or coordinate deliveries if explicitly requested by the client, and strictly at the client's risk. Dispatch channels may include local truck services, Porter, express couriers, third-party logistics (3PL), and commercial freight operators.
5. Governance & Legal Jurisdiction
These terms are governed by the laws of India. Any legal proceedings or arbitration concerning distribution contracts shall fall strictly under the jurisdiction of the courts in Kolkata, West Bengal.
